Terms of Service

1. Acceptance of Terms

This Terms of Service Agreement (hereinafter referred to as the "Agreement") sets forth the terms and conditions for the use of STATshifts services provided by STATshifts ("we," "us," or "our"). By opening, registering, or using a STATshifts Account, or by otherwise using the Services, you agree to be bound by this Agreement. If you do not agree, do not use the platform.

2. Eligibility

To be eligible for our Services, you must be at least 18 years old and a resident of Ontario. You further represent and warrant that if you open an account on behalf of a pharmacy, you are acting exclusively as an authorized representative for your business. If you register as a pharmacist, you represent and warrant that you hold a valid, active Ontario College of Pharmacists (OCP) licence in good standing.

3. The Services

(a) Platform Description. STATshifts is a self-service digital marketplace that connects Ontario pharmacies posting open shifts with pharmacists seeking shift work. We do not employ pharmacists, operate as a staffing agency, or guarantee shift placement or fulfillment.

(b) Account Security and Privacy. You are responsible for maintaining adequate security and control of any IDs, passwords, or other details that you use to access your STATshifts Account. We treat all activities under an Account to be those of the registered user.

(c) Verification. We reserve the right to verify your OCP license, pharmacy business credentials, and other provided information. STATshifts reserves the right to close, suspend, or limit access in the event we are unable to obtain or verify this information.

4. Subscriptions, Billing, and Shift Payments

(a) Pharmacy Subscriptions. Pharmacy accounts may require an active subscription tier to post shifts to the marketplace. Subscription fees are billed monthly in Canadian dollars plus applicable HST. Access to the platform is granted upon confirmed payment. We do not offer refunds for partial months of service unless explicitly required by law.

(b) Shift Compensation. STATshifts does not process hourly wages, shift payments, or handle payroll taxes. All compensation for completed shifts must be settled directly between the pharmacy and the pharmacist outside of the STATshifts platform.

5. User Conduct and Responsibilities

Pharmacies are solely responsible for the accuracy of shift postings, compliance with Ontario Employment Standards, workplace safety, and timely payment to pharmacists. Pharmacists are solely responsible for verifying shift details, showing up on time to accepted shifts, and maintaining their professional standing. Users may not post misleading information, harass other users, attempt unauthorized access, or use the platform for unlawful purposes. Pharmacists who repeatedly fail to appear for accepted shifts without prior cancellation may have their accounts suspended or permanently deactivated.

6. Limitation of Liability

STATshifts provides the platform "as is" and "as available." To the maximum extent permitted by applicable law, STATshifts shall not be liable for any disputes between pharmacies and pharmacists, shift cancellations, lost wages, lack of coverage, or damages arising from the use or inability to use the platform. Our maximum liability to any user for any claims arising out of this Agreement shall not exceed the subscription amounts paid by the user to STATshifts in the thirty (30) days preceding the claim.

7. Indemnification

You agree to defend, indemnify, and hold harmless STATshifts, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, actions, demands, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your violation of this Agreement, or your violation of any rights of another.

8. Termination

Either party may terminate an account at any time. We may suspend or terminate accounts immediately and without notice if you violate these terms or if we determine, in our sole discretion, that your continued use of the platform poses a risk to STATshifts or other users.

9. Changes to Terms

We may update these terms from time to time by posting a revised version on our website. Your continued use of the platform after such changes constitutes acceptance of the new Agreement.

10. Governing Law

These terms and this Agreement are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
